Terms of Use

Welcome to Prozz ("Platform", "we", "us", or "our"). By accessing or using Prozz, you agree to be bound by these Terms of Use ("Terms"). Please read them carefully. If you do not agree, do not use the Platform.

Prozz is an online marketplace that connects buyers who need software development work done with sellers who offer their professional skills and services.

• Buyer – any user who posts a project or engages a seller to perform work.
• Seller – any user who offers services or responds to project listings.
• Project – a task or scope of work posted by a buyer.
• Order – a confirmed agreement between a buyer and a seller.

You must be at least 18 years old and legally capable of entering into binding contracts. By using the Platform you represent and warrant that you meet these requirements.

You must create an account to post projects or offer services. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at support@prozz.app if you suspect unauthorised access.

When posting a project you agree to:

• Provide accurate, complete, and non-misleading project descriptions.
• Post only projects for work you are legally authorised to commission.
• Not post projects that violate any applicable law or these Terms.
• Respond to sellers in a timely manner and engage in good faith.

Once you accept a seller's proposal, an Order is formed. You agree to:

• Pay the agreed amount in full before work begins, unless otherwise agreed.
• Review delivered work promptly and provide reasonable feedback.
• Not request work outside the agreed Order scope without adjusting the price.
• Not contact sellers to circumvent the Platform or avoid applicable fees.

Payments are held in escrow until both parties confirm completion. Disputes must be raised within 14 days of delivery. Prozz's dispute resolution team will mediate and may issue full or partial refunds at its sole discretion. Chargebacks initiated outside the Platform's dispute process may result in account suspension.

When submitting a proposal you agree to:

• Accurately represent your skills, experience, and the scope of your offering.
• Deliver work that meets the agreed specification and quality standard.
• Perform all work personally or disclose the use of sub-contractors.
• Not plagiarise or submit work that infringes third-party intellectual property rights.
• Not use AI-generated code or assets without disclosing this to the buyer before the Order is placed.

You must deliver completed work by the agreed deadline. If you anticipate a delay, notify the buyer as soon as possible and request a mutual extension. Repeated late deliveries or order cancellations may result in account restrictions.

Prozz retains a service fee on each completed Order (see the Fee Schedule). Funds are released to your account after the buyer accepts the delivery or after the auto-accept period expires (72 hours from delivery). Funds may be withdrawn via the supported payout methods subject to minimum thresholds.

Upon receipt of full payment, the seller assigns to the buyer all intellectual property rights in the custom deliverables created under the Order, unless the Order explicitly states otherwise (e.g. a licence-only arrangement). Sellers retain rights to any pre-existing tools, libraries, or frameworks incorporated into the work, provided they are disclosed and the buyer is granted a licence sufficient to use the deliverables.

All users must not:

• Use the Platform for any unlawful purpose.
• Harass, threaten, or abuse other users.
• Post false reviews or manipulate the rating system.
• Attempt to move transactions off the Platform to avoid fees or protections.
• Introduce malicious code, scrapers, or bots.
• Impersonate another person or entity.

After an Order is completed, both buyers and sellers may leave a review and rating for the other party. By using the Platform, both buyers and sellers irrevocably agree to the following:

• Acceptance of all reviews. You accept that any review — including negative or low-rated reviews — left by the other party may be displayed publicly on your profile. Neither party may demand the removal of a review solely because it is unfavourable.
• Accuracy and good faith. You agree to post only honest, first-hand reviews that accurately reflect your experience with the Order. Reviews must not contain false statements of fact, defamatory content, or information intended to mislead other users.
• Full personal liability for false reviews. If you knowingly post a false, fabricated, or misleading review — including reviews posted by third parties at your direction — you bear sole and full legal and financial responsibility for any harm caused. This includes, without limitation, liability for defamation, fraud, and any claims brought by the affected party or regulatory authorities.
• No Platform liability for reviews. Prozz does not verify the accuracy or completeness of any review. The Platform expressly disclaims all responsibility and liability for the content of user-generated reviews. Prozz will not be held liable for any loss, damage, or harm arising from a false or misleading review posted by a buyer or seller.
• Indemnification. You agree to indemnify and hold Prozz harmless from any claim, demand, or damage (including reasonable legal fees) arising out of a review you posted that is found to be false, defamatory, or otherwise unlawful.

Prozz reserves the right to remove reviews that violate these Terms or applicable law, but has no obligation to do so. Suspected false reviews may be reported via the Order page.

In the event of a dispute between a buyer and a seller, either party may open a dispute from the Order page. Both parties will have an opportunity to present evidence. Prozz's decision is final and binding. For disputes not resolved through this process, you agree to submit to binding arbitration under the rules of the Israeli Arbitration Law in Tel Aviv, Israel.

To the maximum extent permitted by law, Prozz is not liable for any indirect, incidental, special, or consequential damages arising out of or relating to your use of the Platform, even if advised of the possibility of such damages. Our total cumulative liability shall not exceed the greater of (a) the fees paid to Prozz in the 3 months preceding the claim, or (b) $100 USD.

The Platform is provided "as is" without warranty of any kind. We do not guarantee the quality, accuracy, or suitability of any seller's work or any buyer's project. We do not vet, endorse, or take responsibility for the conduct of any user.

The Platform may be temporarily unavailable from time to time due to scheduled or emergency maintenance, updates or deployments to our backend or frontend systems, database issues, or other technical problems. We do not guarantee uninterrupted or error-free access to the Platform.

Prozz does not provide refunds, credits, or compensation for subscription fees on account of such downtime or unavailability, given that subscription fees are a small, nominal amount.

We may suspend or permanently discontinue the Platform, in whole or in part, at any time and for any reason, including if we cease operating the business. If the Platform is terminated and is no longer available, no refund, credit, or other compensation will be given for any unused subscription period, prepaid fees, or funds held in escrow beyond what is required by applicable law.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-law principles.
